📄 End User License Agreement (EULA)

Provided by: Marketplace Software, LLC (“Marketplace Software”, “we”, “us”, or “our”)

This End User License Agreement ("Agreement") is a legally binding agreement between you ("User") and Marketplace Software for the use of our software applications, including their integration with QuickBooks (collectively, the “App”).

Please read this Agreement carefully. By installing, accessing, or using the App, you acknowledge that you have read, understood, and agreed to be bound by the terms outlined below.

1. 📌 General Terms

a. App Availability
Marketplace Software reserves the right to restrict, suspend, or terminate access to the App (or any part thereof) at any time, without prior notice or liability. No refunds, credits, or compensation shall be provided in such cases.

b. Updates
This Agreement will apply from the date you first access, download, install, or use the App. Marketplace Software may update this Agreement at its discretion. It is your responsibility to review and comply with the latest version, which will be available on our website or via the App.

2. 🔐 License & Intellectual Property

a. License Grant
The App is licensed, not sold, to you. Marketplace Software grants you a non-exclusive, non-transferable license to use the App for your internal business operations, including integration with QuickBooks.

b. Ownership
All rights, title, and interest in and to the App—including all related intellectual property—are retained by Marketplace Software and its licensors.

c. Use Restrictions
You agree not to:

• Distribute, sell, sublicense, or modify the App

• Reverse engineer, decompile, disassemble, or attempt to derive the source code

• Use the App to transmit any content that violates applicable laws, infringes intellectual property rights, or is offensive or objectionable

3. 🧩 Third-Party Components & Disclosures

The App may contain third-party components. Marketplace Software will provide the corresponding license terms where applicable, and you agree to comply with those terms.

4. 🛠️ Support & Liability

a. Support
Support and maintenance for the App are provided exclusively by Marketplace Software. For assistance, please contact our Customer Support team.

b. Limitation of Liability
Marketplace Software shall not be liable for any loss, damage, cost, or claim arising from your use or inability to use the App—including issues related to its integration with QuickBooks. You acknowledge that QuickBooks and its affiliates are third-party beneficiaries of this Agreement.

5. 🔒 Privacy

Your use of the App is subject to our Privacy Policy. By using the App, you consent to the collection, use, and disclosure of your data in accordance with that policy.

6. ⚠️ Disclaimer of Warranty

The App is provided “as is”, without any warranties—express or implied. Marketplace Software and its third-party providers make no guarantees regarding performance, reliability, or fitness for your particular purpose.

7. 🚫 Limitation of Liability

To the fullest extent permitted by law, Marketplace Software and its affiliates will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the App or its integration with QuickBooks.

8. ⚖️ Governing Law & Jurisdiction

This Agreement shall be governed by the laws of the State of Hawaii, without regard to its conflict of laws rules. Any disputes shall be resolved exclusively in the courts located in Honolulu, Hawaii.

9. ⛔ Termination

Marketplace Software may terminate this Agreement and your access to the App at any time, with or without cause. Upon termination, you must stop using the App and delete all copies from your devices.

10. 📌 Miscellaneous

a. Entire Agreement
This Agreement constitutes the entire agreement between you and Marketplace Software regarding the App and its use.

b. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
